Employee Share Ownership

Introduction

Our business and securities law practice has developed a special expertise in developing and implementing employee share ownership plans and other forms of equity-based compensation arrangements including stock option plans. This practice has acted on behalf of both employers and employee groups in negotiating and structuring various forms of employee ownership.

Services Provided

Examples of the corporate/commercial and securities advice which we provide in connection with employee share ownership plans include:
  • documentation and establishment of employee plan trusts, corporations and worker-owned co-operatives;
  • preparation of subscription documentation;
  • advice in connection with valuation issues;
  • implementation of necessary corporate share restructuring required prior to plan implementation;
  • Drafting and negotiation of shareholders' agreements and other related documents;
  • Participation in seminars and presentations made to employees in connection with the implementation of a plan;
  • Continuing advice regarding the operation of a plan and legal compliance issues; and
  • Documentation and implementation of amendments and changes made to existing plans.
Personnel

George Dzuro heads our employee share ownership practice. George has extensive experience in complex corporate/commercial and securities transactions, which he applies to employee share ownership situations. George currently sits on the executive of the ESOP Association Canada, a national organization promoting employee ownership. He also is a regular participant in conferences and seminars held with respect to employee ownership, by ESOP Association Canada, the Global Equity Organization and others.
